Important: US MedBank is not a bank, lender, or credit institution. The funding we provide is a purchase of receivables, not a loan.
3. Eligibility
To use our Services, you must:

Be at least 18 years old,

Operate a legally registered healthcare or medical billing business in the United States, and

Have the authority to enter into binding agreements on behalf of your organization.
We reserve the right to verify eligibility and deny access at our discretion.
4. Account Registration
To access certain features, you may be required to create an account. You agree to:

Provide accurate, current, and complete information during registration;

Maintain and promptly update your account information;

Protect your account credentials and notify us immediately of unauthorized access;

Accept responsibility for all activities that occur under your account.
US MedBank reserves the right to suspend or terminate any account that violates these Terms.
5. Use of Services
You agree to use our Services only for lawful business purposes and in compliance with all applicable federal, state, and local laws, including HIPAA regulations. You may not:

Misrepresent information or submit fraudulent invoices;

Attempt to access data not intended for you;

Interfere with the operation or security of our systems;

Use automated means (bots, scrapers, etc.) to collect data from our website;

Reproduce, distribute, or modify any part of the Site without our written consent.
Violation of these terms may result in termination of your account and legal action.
6. HIPAA Compliance
Because our business involves healthcare financial transactions, both parties agree to comply with the Health Insurance Portability and Accountability Act (HIPAA) and all related privacy and security standards.

Providers must ensure that any PHI shared with US MedBank is authorized, minimal, and necessary for the funding process.
7. Funding and Payments
By submitting an invoice or payment request, you represent and warrant that:

You have full rights and ownership of the receivables;

The information submitted is true, accurate, and complete;

The receivable is free of liens or other encumbrances.
Funding decisions are made at our discretion based on risk analysis and verification. Payment timelines are estimates and may vary due to banking or processing delays.
8. Fees and Costs
All applicable service fees, processing charges, or other costs will be clearly disclosed before funding approval. By proceeding, you agree to those terms and fees.
9. Intellectual Property
All materials, trademarks, content, logos, text, graphics, and software on the US MedBank website are the property of US MedBank or its licensors.
You may not copy, reproduce, modify, or distribute any part of our website without prior written permission.
10. Confidentiality
Both parties agree to maintain the confidentiality of all nonpublic business, financial, and medical information shared during the course of service.
US MedBank may use aggregated and anonymized data for analysis or improvement purposes, provided it does not personally identify you or your patients.
11. Limitation of Liability
To the fullest extent permitted by law:

US MedBank shall not be liable for any indirect, incidental, special, or consequential damages, including lost profits or data, arising out of your use or inability to use our Services.

Our total liability for any claim shall not exceed the total amount of fees paid by you to US MedBank in the 12 months preceding the event giving rise to the claim.
12. Disclaimer of Warranties
All Services are provided on an “as is” and “as available” basis.
US MedBank makes no warranties or representations, express or implied, regarding the accuracy, reliability, or completeness of any content or service, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
13. Termination
We reserve the right to suspend or terminate your account or access to Services at any time, without notice, for conduct that we believe violates these Terms or is harmful to our business or other users.

14. Indemnification
You agree to indemnify and hold harmless US MedBank, its affiliates, officers, employees, and partners from any claims, damages, losses, or expenses (including attorney’s fees) arising from:

15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles.
Any dispute arising under these Terms shall first be attempted to resolve informally. If unresolved, disputes shall be submitted to binding arbitration in Florida under the rules of the American Arbitration Association.

US MedBank reserves the right to modify or update these Terms at any time. Updates will be posted on our website with a revised “Effective Date.” Continued use of our Services after such changes constitutes your acceptance of the new Terms.
